Welcome to UnityDB Studio. These Terms and Conditions ("Terms") govern your access to and use of UnityDB Studio software, services, and related offerings (collectively, the "Services") provided by UnityDB Technology Private Limited, a company incorporated under the laws of India ("Company," "we," "us," or "our").
By downloading, installing, accessing, or using our Services, you ("User" or "you") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

The Software may include open-source components governed by their respective licenses. A list of open-source components and their licenses is available in the Software documentation. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license.
We strive to maintain Service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes when feasible.
You retain all ownership rights to your User Content. We claim no ownership over your source code, projects, or data.
UnityDB Studio processes your code locally on your device. We do not upload, store, or access your source code on our servers unless you explicitly enable cloud features.
You are solely responsible for your User Content and ensuring you have the necessary rights to use it with the Services.
Before initiating formal proceedings, you agree to contact us at hi@unitydb.com to attempt informal resolution of any dispute.
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Bengaluru, Karnataka, India, in English.
You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.
The Software may collect anonymized usage data, error reports, and performance metrics to improve the Services. This does not include your source code or User Content.
You may disable telemetry in the Software settings. Certain diagnostic data may still be collected for security and operational purposes.
Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
If you use collaboration or team features:
AI features require you to provide your own API keys from third-party providers. These keys are stored locally on your device.
When using AI features, your device communicates directly with AI providers. We do not proxy, store, or access these communications.
Your use of AI services is subject to the terms and privacy policies of the respective AI providers. You are responsible for compliance with their terms.
We do not guarantee the accuracy, reliability, or appropriateness of AI-generated content. You are responsible for reviewing and validating any AI suggestions before use.
The Software may integrate with databases, version control systems, and other third-party services. Your use of these services is governed by their respective terms.
Integration with third-party services does not imply endorsement. We are not responsible for third-party service availability, security, or content.
Certain features require a paid Subscription. Current pricing is available on our website. We reserve the right to modify pricing with reasonable notice.
Subscriptions are billed in advance on a recurring basis. You authorize us to charge your payment method for all applicable fees.
Refund policies are specified at the time of purchase. Generally, Subscriptions are non-refundable except as required by applicable law.
Prices exclude applicable taxes. You are responsible for all taxes associated with your use of the Services.
The Software, including its design, features, documentation, and trademarks, is owned by UnityDB Technology Private Limited. All rights not expressly granted are reserved.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITYDB TECHNOLOGY PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless UnityDB Technology Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
These Terms remain in effect until terminated by either party.
You may terminate by discontinuing use of the Services and uninstalling the Software.
We may terminate or suspend your access immediately if you breach these Terms or for any other reason with or without notice.
Upon termination, your license to use the Software ends. Sections that by their nature should survive termination shall survive, including Sections 13-16.
These Terms are governed by the laws of India. Subject to Section 7 (Dispute Resolution), any legal proceedings shall be brought exclusively in the courts of Bengaluru, Karnataka, India.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
